These Terms of Service ("Terms") are a legal agreement between you and [ENTITY NAME], of [REGISTERED ADDRESS], Japan ("TradingTone.ai", "we", "us"), governing your access to and use of the TradingTone.ai website and the TradingTone platform (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. You are responsible for ensuring that your use of the Service is lawful in the country or region you access it from — copy trading and derivatives access may be restricted or unavailable in some jurisdictions, and we may restrict access accordingly.
To enable copy trading, you connect your own exchange account and/or approve a Hyperliquid agent key scoped to placing orders on your behalf, within the permissions you grant. We do not have your wallet's private key and cannot withdraw or move your underlying funds. You are solely responsible for safeguarding your own wallet, private keys, seed phrases, exchange account credentials, and any device or software you use to access them. We cannot recover lost keys or reverse on-chain transactions.
Trading crypto-assets and derivatives, including via copy trading, is inherently risky and can result in the loss of some or all of the funds you allocate. When you copy a trader, orders are placed on your behalf based on that trader's activity and the configuration you set (sizing, capacity, take-profit/stop-loss); this does not eliminate risk and can amplify losses in fast-moving markets, during outages, or due to slippage, latency, or venue behavior outside our control.
Nothing on the Service is investment, financial, tax, or legal advice, and nothing constitutes a recommendation or solicitation to buy, sell, or hold any asset. Any performance information, statistics, or track record shown for a trader (including "verified" or "blockchain-verified" performance) reflects historical activity only. Past performance is not, and is not a guarantee of, future results. We do not guarantee that any strategy or trader you copy will be profitable, or that copied trades will replicate the original trader's results exactly, due to timing, sizing, fees, and market differences.
There is no token associated with TradingTone.ai. Any rewards or fee credits described on the Service are non-transferable credits applied against your own trading fees, are not a security, a currency, or an investment, and have no value outside the Service.
We generate revenue through Hyperliquid "builder codes" — a small fee attached to orders placed through the Service, which is separate from and in addition to Hyperliquid's own exchange fees. You will be shown and must separately approve the applicable builder fee before it applies to your orders. We may change our fees prospectively; continued use of the Service after a fee change takes effect means you accept the new fee.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access. You agree to provide accurate information (including for identity verification) and to keep it up to date. We may require identity verification (KYC) proportionate to applicable law before enabling certain features.
You agree not to: (a) use the Service for any unlawful purpose, including money laundering, sanctions evasion, or fraud; (b) attempt to gain unauthorized access to the Service, other users' accounts, or our systems; (c) interfere with or disrupt the Service's operation, including through excessive automated requests; (d) misrepresent your identity or trading history; (e) reverse-engineer, scrape, or resell the Service without our written permission; or (f) use the Service in a way that could expose us or other users to legal liability.
The Service, including its design, software, branding, and content, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Service for its intended personal purpose. You retain no rights to our intellectual property beyond this license.
You may stop using the Service and close your account at any time. We may suspend or terminate your access, in whole or in part, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to the Service or other users, or as required by a regulator or law enforcement. Because the Service is non-custodial, suspension or termination of your TradingTone.ai account does not affect your ability to access your own funds directly on Hyperliquid or your exchange account — those remain yours and under your control regardless of your status with us.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY TRADER PERFORMANCE DATA, MARKET DATA, OR THIRD-PARTY VENUE (INCLUDING HYPERLIQUID) BEHAVIOR.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, FUNDS, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSSES FROM COPY-TRADED ORDERS, VENUE OUTAGES, OR MARKET CONDITIONS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING JAPANESE CONSUMER PROTECTION LAW WHERE IT APPLIES.
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law.
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection rules that cannot be waived, the courts of Japan have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service.
Copy trading on a venue like Hyperliquid may fall within the scope of financial-services regulation in Japan and other jurisdictions. This section, and these Terms generally, are a draft and have not been assessed by qualified counsel for regulatory compliance.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after a change takes effect means you accept the updated Terms.
